The new Ironwood will focus on accelerating the growth of our marketed product Linzess® (linaclotide) and advancing the development of our innovative pipeline of treatments for GI diseases and abdominal pain. Following completion of the separation, the Equity Administration Manager position will be part of the new Ironwood. The role will remain as described here.

 

Position description:

We’re looking for a collaborative, driven and experienced Equity Administration Manager. The Equity Administration Manager is responsible for managing all aspects of Ironwood’s stock plan administration and stock-based compensation including stock options, restricted stock awards, restricted stock units, and ESPP.  This is an excellent opportunity to build the function and continue to raise the bar, in terms of service delivery and customer satisfaction.  This role reports to the Assistant Controller.

As owners of the company, we challenge assumptions and relentlessly look for opportunities to improve on execution.  The Equity Administration Manager is responsible for executing Company policy in collaboration with other functions such as Legal and HR Talent Team and Culture.  This role will also work with vendors and internal stakeholders to provide best in class service levels that will scale to company growth. The Equity Administration Manager will be supported by an experienced associate with a dotted line reporting relationship.

This position will interact with Board members and the senior executive team and must be extremely detail oriented. The role is responsible for implementing and maintaining Company-wide communications and day-to-day interactions with the larger employee base and must have excellent written and verbal communication skills.

 

Your responsibilities will include:

  • Manage all aspects of stock plan administration including:

    • Process for new hires, terminations, annual and promotion grants, stock option exercises, vesting events, and ESPP purchases.

    • Reconciliations among HR, Payroll, transfer agent, broker and third-party stock administration software

    • Manage relationships with transfer agent, system database vendor, and other external contacts. Near-term goals will include enhancing the level of vendor support to facilitate scaling of equity operations in anticipation of company growth.

    • Manage all insider and other restricted stock transactions (partner with Legal dept), including Section 16 officer transactions and reporting requirements (10b5-1 transactions, Form 3/4 filings, etc.)

    • System administrator role for stock plan system (Equity Edge Online)

    • Point person for all stock participant inquiries and ad-hoc requests from business partners

  • Manage the company-wide equity function including:

    • Compliance with governing stock plans and regulatory and statutory rules

    • Collaborate with Finance, Legal, and Human Resources for equity-related matters

    • Develop and implement broad-based educational programs and communications

    • Develop and maintain SOX-compliant processes and internal controls

    • Responsible for equity-related information included within public disclosure filings (Forms 10-Q, 10-K, Proxy, etc.)

    • Support FP&A forecasting and auditor (internal and external) inquiries related to equity compensation

  • Manage all assumptions and reports used for stock-based accounting, including valuations, expense recognition reports, performance conditions, and underlying assumptions (volatility, forfeiture rates, etc.) for multiple stock-based award programs and periodic modifications

 

Requirements:

  • Bachelor’s degree, preferably in Accounting or Finance

  • At least 5 years of relevant and progressive work experience

  • Possesses an in-depth and comprehensive understanding of equity administration and management, including accounting, tax, and legal concepts

  • Experience with equity administration systems; Equity Edge Online preferred

  • Strong Microsoft Office skills; intermediate Excel skills are required

  • Ability to work in a fast-paced and collaborative environment and adjust to changing priorities

  • Must have very strong communication and customer service skills
